Welcome to AG Events Group LLC ("AG Events," "we," "us," or "our"). By accessing or using ageventsgroup.com (the "Site"), purchasing tickets, joining our mailing or SMS list, or attending our events, you agree to these Terms and Conditions ("Terms"). If you do not agree, please do not use the Site or our services.
1. About Us
AG Events Group LLC is a Rhode Island limited liability company that produces and promotes live music events, club nights, concerts, and festivals across the United States, including the UAfrica Music Festival. 2. Eligibility
You must be at least 18 years old (or have legal guardian consent) to use the Site, purchase tickets, or join our mailing or SMS list. Event-specific age requirements (e.g., 21+ for licensed venues) are stated on each event page or ticket.
3. Tickets and Events
3.1 Ticket Sales. Tickets are sold through third-party ticketing platforms (including but not limited to Eventbrite, Ticketmaster, evenue, and Posh). All sales are final unless otherwise stated. Refunds, exchanges, and disputes are governed by the ticketing platform's policies.
3.2 Event Changes. AG Events reserves the right to change lineups, set times, venues, and event details at any time. We will use reasonable efforts to notify ticket holders of material changes. Lineup changes do not entitle ticket holders to refunds unless required by the ticketing platform's policy or applicable law.
3.3 Cancellation. If an event is canceled in full and not rescheduled, refunds will be issued according to the ticketing platform's policy. AG Events is not responsible for travel, lodging, or other incidental expenses.
3.4 Entry and Conduct. Attendees must comply with venue policies, security checks, age requirements, and applicable law. AG Events and venue staff reserve the right to refuse entry or remove attendees who pose a safety risk, behave disruptively, or violate venue rules.
3.5 Media Release. By attending an AG Events event, you consent to being photographed, filmed, or recorded, and to the use of such media by AG Events and its partners for promotional purposes without further compensation.
4. Mailing List and SMS Messages
4.1 Opt-In. By providing your email address or phone number on our subscription form and checking the applicable consent boxes, you agree to receive marketing and/or transactional communications from AG Events.
4.2 SMS Messaging. Message frequency may vary. Message and data rates may apply. Reply STOP to opt out. Reply HELP for help. Your mobile information will not be sold or shared with third parties for promotional or marketing purposes. Carriers are not liable for delayed or undelivered messages.
4.3 Opt-Out. You may opt out of marketing emails at any time by clicking the "unsubscribe" link in any email, or out of SMS by replying STOP. Transactional messages (such as order confirmations) may continue regardless of marketing opt-out status.
5. Intellectual Property
All content on the Site, including logos, graphics, flyers, photography, and the AG Events and UAfrica brand marks, is owned by AG Events Group LLC or its licensors and is protected by United States and international copyright and trademark law. You may not reproduce, distribute, or use our content commercially without prior written permission.
6. User Conduct on the Site
You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to any portion of the Site; (c) interfere with the operation of the Site; or (d) misrepresent your identity or affiliation.
7. Third-Party Links
The Site may contain links to third-party websites (ticketing platforms, partner venues, social media). AG Events is not responsible for the content, terms, or privacy practices of third-party sites. Use of those sites is at your own risk.
8. Disclaimers
The Site and our services are provided "as is" without warranties of any kind, express or implied. AG Events does not warrant that the Site will be uninterrupted, error-free, or secure. To the fullest extent permitted by law, AG Events disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the fullest extent permitted by law, AG Events Group LLC, its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, ticket purchases, or attendance at events. Our total liability for any claim shall not exceed the amount you paid for the ticket or service giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless AG Events Group LLC and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your conduct at events, or your misuse of the Site.
11. Governing Law
These Terms are governed by the laws of the State of Rhode Island, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Rhode Island, and you consent to personal jurisdiction in those courts.
12. Changes to These Terms
AG Events may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date. Continued use of the Site after changes constitutes acceptance of the revised Terms.
